HOG Furniture Marketplace Seller Agreement

Effective Date: 1 Jan. 2010

This Seller Agreement (“Agreement”) is entered into between HOG Furniture Limited (“HOG”, “we”, “our”) and the registering merchant (“Seller”, “you”, “your”) for participation on the HOG Furniture marketplace available at www.hogfurniture.co (the “Platform”).

By completing registration or listing products, you agree to be bound by this Agreement and the Platform’s Terms of Use and Privacy Policy.

1. Definitions

“Products”: Goods listed by Seller on the Platform.
“Order”: A confirmed purchase placed by a customer via the Platform.
“Net Proceeds”: Order value less applicable commissions, fees, returns, refunds, and adjustments.
“Commission”: Fees payable to HOG for marketplace services.

2. Appointment & Scope

HOG grants Seller a non-exclusive, revocable right to list and sell Products on the Platform subject to this Agreement. HOG may accept Orders on Seller’s behalf and facilitate customer communication.

3. Seller Obligations

Seller shall:

Provide accurate business information and maintain it up to date.
List Products truthfully (title, images, specifications, condition, warranty).
Maintain adequate inventory and avoid cancellations.
Comply with all applicable laws and standards (including SON where applicable).
Respond promptly to Order notifications and customer inquiries.
Package Products appropriately and meet agreed dispatch timelines.
Not list counterfeit, substandard, prohibited, or misrepresented goods.
Cooperate with HOG on promotions, recalls, or quality actions.

4. Pricing & Listings

Seller provides base pricing and product details.
HOG reserves the right to curate, adjust, or recommend pricing and content presentation to maintain marketplace competitiveness and customer experience.
Seller shall promptly notify HOG of any changes to price, availability, or specifications.

5. Orders, Fulfilment & Delivery

HOG may confirm Orders on Seller’s behalf and transmit details to Seller.
Seller shall prepare Products for dispatch within agreed timelines.
HOG provides logistics coordination where applicable.
Delivery fees vary based on location, order size, and prevailing logistics rates and may be updated from time to time.
For bulk or special orders, HOG may negotiate courier rates on behalf of customers.

6. Assembly (Where Applicable)

Assembly services may be offered depending on product type and location, either complimentary or paid at HOG’s discretion or as agreed with the Seller.

7. Commission & Fees

HOG operates a commission-based model.
Applicable rates are determined by product category, order value, and partnership terms.
Additional fees (e.g., promotional placements) may apply where expressly agreed.

8. Payments & Settlement

Payments to Seller are made from Net Proceeds after successful delivery/acceptance and reconciliation.
Settlement timelines are defined operationally and may be updated; HOG will communicate applicable timelines.
HOG may withhold, offset, or adjust payments for returns, refunds, chargebacks, penalties, or breaches.

9. Returns, Refunds & Disputes

HOG may process returns/refunds in line with its customer policy.
Seller shall accept valid returns for defective, damaged, or misrepresented Products.
Costs and liability allocation (including logistics) will be determined based on fault and applicable policy.

10. Quality Assurance & Compliance

HOG may conduct audits, request documentation, or delist Products that do not meet standards.
Seller shall comply with safety, labeling, and quality requirements.
Repeated quality issues may trigger sanctions.

11. Suspension & Termination

HOG may suspend or terminate Seller accounts (with or without notice) for:

Misrepresentation, counterfeit/substandard goods
High cancellation/defect rates
Poor customer experience or response times
Non-payment of commissions/fees
Breach of this Agreement or applicable laws

Seller may terminate by written notice, subject to completion of outstanding Orders and obligations.

12. Intellectual Property

Seller grants HOG a non-exclusive, royalty-free license to use Product images, descriptions, trademarks, and content for listing, marketing, and promotional purposes.

13. Confidentiality

Each party shall keep confidential all non-public information received from the other and use it solely for performance under this Agreement.

14. Limitation of Liability

To the fullest extent permitted by law, HOG shall not be liable for indirect, incidental, or consequential damages. HOG’s aggregate liability shall not exceed fees earned by HOG from Seller over the preceding three (3) months.

15. Indemnity

Seller agrees to indemnify and hold HOG harmless from claims arising from Product defects, IP infringement, regulatory violations, or Seller’s breach of this Agreement.

16. Amendments

HOG may update this Agreement from time to time. Continued use of the Platform constitutes acceptance of the updated terms.

17. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in courts of competent jurisdiction in Nigeria.
